Terms of Service

1. Acceptance

These Terms of Service (the "Terms") are a binding agreement between you and VisionXLab, the operator of the BEDRHome brand ("BEDRHome," "we," "us," or "our"). They govern your use of bedrhome.com, our landing pages, AI preview tool, lead forms, and any related calls, texts, and emails (collectively, the "Service").

By using the Service, submitting a form, or otherwise interacting with us, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What BEDRHome is

BEDRHome is a design preview tool (we generate an AI rendering of your future kitchen or bathroom) and an introduction service (we match you with one vetted local remodeling contractor who quotes and performs the work).

BEDRHome is not a contractor. We do not perform construction, demolition, installation, plumbing, electrical work, or any other remodeling services. We do not warranty the work of matched contractors. We do not act as a general contractor, project manager, architect, or interior designer.

3. Eligibility

• You must be at least 18 years old (or the age of majority in your state, whichever is older).
• You must be a U.S. resident with a remodel project located in the United States.
• You must be the homeowner of the property to be remodeled, or an authorized agent of the homeowner with permission to engage a contractor on their behalf.
• Your use of the Service must comply with all applicable laws.

4. AI preview disclaimer

The AI-generated kitchen or bathroom image we produce for you is an illustrative concept rendering intended to help you communicate your taste to a contractor. It is:

• Not a build specification, blueprint, construction document, or shop drawing
• Not a guarantee of materials, finishes, brands, dimensions, fixtures, or final result
• Not a code-compliant design or an engineering review
• Not a price quote or commitment from any contractor

Final results depend on your contractor's workmanship, the products and finishes you and the contractor ultimately select, structural realities of your existing space, local code and permit requirements, and your final design decisions. We make no warranty as to the accuracy, fitness for purpose, merchantability, or feasibility of any AI-generated rendering.

5. Contractor matching

BEDRHome introduces you to one vetted contractor per project, exclusively. Contractors are independent businesses, not employees, agents, partners, or subsidiaries of BEDRHome. We do not control their schedules, pricing, materials, employees, subcontractors, or workmanship.

Any contract you enter into with a matched contractor is solely between you and that contractor. All quotes, change orders, payments, scheduling, warranties, lien rights, dispute resolution, insurance claims, code compliance, permits, and remediation are between you and the contractor — not BEDRHome.

If you are not satisfied with your match, you may request a new match within 7 days of the initial introduction by emailing support@bedrhome.com. We will use reasonable efforts to find an alternative contractor in your area, but cannot guarantee a second match in every ZIP code.

We vet contractors at the time of onboarding (licensing, insurance, references) and re-check periodically. Vetting is not an endorsement and does not guarantee any specific outcome. You are encouraged to independently verify any contractor's license, insurance, bonding, and references before signing a contract or paying any deposit.

6. Fees

The Service is free for homeowners. We do not charge you to use BEDRHome, to receive an AI preview, or to be matched with a contractor. Matched contractors pay BEDRHome a referral fee when a match is made and/or when a project is signed. This fee structure is disclosed for transparency and does not change what you pay the contractor.

7. Communications consent

By submitting a form on BEDRHome, you agree that BEDRHome and your matched contractor may contact you about your project by phone, SMS, MMS, and email in accordance with the consent you provide on the form and our Privacy Policy. You may revoke consent at any time as described in the Privacy Policy.

8. Acceptable use

You agree not to:

• Submit false, fraudulent, or fictitious project information, or someone else's information without their permission
• Use the Service to submit fake leads, test leads, or other non-genuine inquiries
• Scrape, crawl, or extract data from the Service other than through ordinary browser use
• Reverse-engineer or attempt to extract the AI prompts, prompt templates, model parameters, or matching logic
• Use the Service for any commercial purpose, including market research, competitor analysis, or building a competing product, without our prior written permission
• Upload content that is unlawful, infringing, defamatory, obscene, or that contains malware
• Interfere with, disrupt, or overload the Service or any related systems
• Bypass any security or rate-limiting controls
• Impersonate any person or entity

We may suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms.

9. Intellectual property

The BEDRHome site, brand, logo, AI prompt design, matching algorithm, and all underlying software are owned by VisionXLab and are protected by U.S. and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use to plan and execute your remodel.

The rendered preview image we generate for your project is yours to use for your remodel — to share with your matched contractor, your spouse, your designer, your bank, and so on. By submitting your inputs and receiving a preview, you grant BEDRHome a worldwide, royalty-free, sublicensable license to:

• Display the preview to your matched contractor as a design brief
• Retain the preview and the underlying prompt for our internal records and quality assurance
• Use anonymized previews (without your contact information) as samples to demonstrate the Service, to improve our AI prompts and matching logic, and for non-public internal training

10. Disclaimers

The Service is provided "as is" and "as available," with all faults and without warranties of any kind, express or implied. To the maximum extent permitted by law, BEDRHome disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.

Without limiting the foregoing, we do not warrant that:

• The AI preview will be accurate, feasible, code-compliant, or buildable at any specific price
• We will find a matched contractor in every ZIP code, for every budget, or within any specific time frame
• Any matched contractor will offer a particular price, schedule, or warranty
• The Service will be uninterrupted, secure, or error-free

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law, BEDRHome, VisionXLab, and their affiliates, officers, directors, employees, agents, licensors, and service providers are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, or use, arising out of or related to:

• Your use of, or inability to use, the Service
• Any AI preview or any reliance you place on it
• The acts, omissions, workmanship, pricing, scheduling, or conduct of any matched contractor
• Any contract, dispute, warranty claim, lien, permit, or code issue between you and a contractor
• Any unauthorized access to or alteration of your information

Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service is capped at one hundred U.S. dollars (US $100).

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, personal injury caused by our gross negligence, or any other liability that cannot be limited or excluded under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless BEDRHome, VisionXLab, and their affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms
• Your misuse of the Service
• Your violation of any law or third-party right
• Any content or information you submit
• Any dispute between you and a matched contractor

13. Arbitration and class action waiver

Please read this section carefully — it affects how disputes are resolved.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single neutral arbitrator. The seat of the arbitration will be in the state of your residence, and the arbitrator may, on request, conduct hearings by telephone or videoconference.

You and BEDRHome agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

Before filing arbitration, you agree to first contact us at legal@bedrhome.com and attempt to resolve the dispute informally for at least 60 days.

30-day opt-out: You may opt out of this arbitration and class-action waiver by sending a clear written notice to legal@bedrhome.com with the subject line "Arbitration Opt-Out" within 30 days after first accepting these Terms. The notice must include your full name, mailing address, and a clear statement that you wish to opt out. If you opt out, the rest of these Terms remain in full force.

Either party may bring an individual action in small-claims court for any qualifying claim, and either party may seek injunctive or equitable relief in court to protect its intellectual property rights. This arbitration provision is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

14. Governing law

These Terms and any non-arbitrable Dispute are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Federal law applies where it preempts state law. If you are a consumer residing in a U.S. state with mandatory consumer-protection laws that grant you additional rights, those laws apply to the extent not preempted.

15. Changes

We may update these Terms from time to time. The "Effective date" at the top indicates the current version. We will post the revised Terms on the Service and, where required by law, notify you by email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Severability and miscellaneous

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force.

No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms, in whole or in part, without restriction.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and BEDRHome regarding the Service.

No agency. No partnership, joint venture, employment, or agency relationship is created by these Terms — and explicitly, no agency or employment relationship is created between you and any matched contractor through BEDRHome.
